Draft — pending legal review
These terms are a working structure for counsel review. Do not treat them as a final binding agreement. Sections marked [REVIEW: …] require counsel input.
Terms of Service
Version v1-draft · Last updated 2026-05-23
1. Agreement
By creating a HALO account or using the HALO service you agree to these terms and to our Privacy Policy. If you do not agree, you may not use HALO.
[REVIEW: contracting party identity, age-of-capacity language, parent / guardian agreement on behalf of children.]
2. The service
HALO is a community carpooling platform. We provide tools for community administrators to verify drivers and approve members; for drivers to offer rides; and for parents and passengers to join those rides. HALO does not provide transportation services itself, does not employ drivers, and does not guarantee any particular ride or driver.
3. Accounts
3.1 Eligibility
You must be old enough to enter a binding contract in your jurisdiction. Children may use HALO only with verifiable parental consent recorded through the consent flow described in our Privacy Policy.
3.2 Account security
You are responsible for activity under your account. Choose a strong password, enable multi-factor authentication where offered, and notify us immediately if you suspect unauthorised access.
3.3 Suspension and termination
We may suspend or terminate accounts that violate these terms, that present a safety risk to others in their community, or that we are required to terminate by law or court order.
4. Driver responsibilities
If you offer rides on HALO, you confirm that:
- You hold a valid driving licence appropriate for the rides you offer.
- Your vehicle is roadworthy, insured, and legally permitted to carry passengers.
- You will comply with the road-traffic laws of the jurisdiction in which you drive.
- You will upload truthful licence and insurance documentation for verification.
- You will not offer rides while impaired, ill, or otherwise unfit to drive.
[REVIEW: per-jurisdiction insurance requirements — most consumer auto insurance does not cover commercial passenger transport even where money does not change hands. Confirm whether HALO requires drivers to declare carpool use to insurer.]
5. Passenger and parent responsibilities
- Treat drivers and other passengers with respect.
- Be at the agreed pickup point on time, or notify the driver of delays.
- Do not share or transfer your invitation codes.
- Use the SOS feature only for genuine emergencies.
- If you are booking rides for a child, ensure the consent flow is completed and the child understands ride safety expectations.
6. Community administrators
Community admins are responsible for verifying driver applications, approving memberships, and resolving SOS incidents in their community. Community admins are not employees of HALO and act as administrators of their own community.
7. Acceptable use
You agree not to:
- Use HALO for any unlawful purpose.
- Harass, threaten, or harm another user.
- Attempt to access another user's account or data without authorisation.
- Probe, scan, or test the vulnerability of the HALO platform.
- Use the service to transport goods or persons commercially without authorisation.
- Submit false or misleading driver verification documents.
8. Content and feedback
When you submit ratings, comments, or feedback, you grant HALO a worldwide, non-exclusive, royalty-free licence to use, reproduce, and display that content as needed to operate the service. You retain ownership of content you submit.
9. Disclaimers
HALO is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted or error-free, that ride matches will be available, or that any specific outcome will result from use of the platform.
[REVIEW: jurisdictional carve-outs for implied warranties that cannot be disclaimed (UK Consumer Rights Act 2015; EU consumer-protection directives; US state-by-state).]
10. Limitation of liability
[REVIEW: this entire section requires counsel drafting. Liability caps, carve-outs for personal injury / death by negligence (which generally cannot be excluded under UK/EU law), and indemnity scope vary materially by jurisdiction and product type. The default limits commonly used in SaaS terms (e.g. 12 months of fees) are likely inadequate for a platform that intermediates physical transportation of children.]
11. Changes to these terms
We may update these terms from time to time. We will publish the new version and update the version number at the top of this page. Material changes will be announced by email to account holders.
12. Governing law
[REVIEW: governing law and exclusive jurisdiction clauses, plus any consumer-protection mandatory law that overrides choice of forum (e.g. EU Brussels I Recast Article 17 for consumer contracts).]
